2 versions of the same movie, only 1 plays - why?

I'll post some specs for two video files and I'll ask you to decipher why one plays, the other does not:
File 1:
File Type: MKV
Size: 13.0GB
1 Video Stream: AVC
2 Audio Streams: DTS/AC3
7 Text streams: UTF-8/UTF8/PGs/PGS/PGS/PGS/PGS
Overall bit rate: 15.2 Mbps
Writing application: mkvmerge v6.3.0
Writing Library: libebml v1.3.0 + libmatroska v1.4.0
First Video Stream: English, 1920*800 (2.40:1), at 23.976 fps, AVC (High@4.1) (CABAC / 5 Ref Frames)
First Audio Stream: English, Unknown / 1509 Kbps, 48 KHz, 24 bit, 8 Channel / 6 channels, DTS (MA/Core)
Second Audio Stream: English, 640 Kbps, 48 KHz, 16 bits, 6 channels, AC-3

File 2:
Files Type: MKV
Size 8.91GB
1 Video Stream: AVC
1 Audio Stream: DTS
Overall bit rate: 10.4 Mbps
Writing application: Handbrake 0.9.9
Writing library: libmkv 0.6.5
First Video Stream: English, 9000 Kbps, 1920*800 (2.40:1), AVC (Main@L4.0) (CABAC / 4 Ref Frames)
First Audio Stream: English, 1509 Kbps, 48 KHz, 24 bit, 6 channels, DTS

These are the same movie backed up in only slightly different ways. Why does File 1 stream perfectly and File 2 skips around randomly and doesn't play scenes in order (it started about 10 minutes into the movie the first time, then I restarted and it jumped ahead to 3 minutes in, etc...)

I have a variety of other issues with files telling me they're unsupported, as well, when they're AVC video encased in MKV container with DTS or DD audio, but I'm more interested in why these two files result in drastically different quality of playback?
Is it the encoding level (4.1 vs 4.0...4.1 works but 4.0 doesn't, which is weird to me), or the number of reference frames? I don't know that much about encoding video, so some basics training might be required....

Bump: does anyone have any thoughts as to why file 1 is compatible with PMS and streams but file 2 does not?

The file audio plays for a few seconds then all streaming data halts, then the file skips around and video/audio plays, then streaming data halts, then the time counter starts going in circles between 2:00 and 1:00.
